Notice of a Special Meeting of Members of the Royal New Zealand Foundation of the Blind

Date:           Saturday 16 November 2024.
Time:          9:30am.
Location:    Blind Low Vision NZ, Recreation Centre, 30 McVilly Road, Manurewa, Auckland.

The business of the meeting is to:

  1. Accept the minutes of the 2020 Special Meeting of Members; and
  2. Consider the following four resolutions:

Resolution 1: Remuneration of Directors

THAT rule 8.10 of the Constitution of the Royal New Zealand Foundation of the Blind Incorporated, as amended, be adopted to take effect after the 2024 RNZFB Annual General Meeting has concluded.

Resolution 2: Diversity Clause to the Composition of Board

THAT rule 7.1 of the Constitution of the Royal New Zealand Foundation of the Blind Incorporated, as amended, be adopted to take effect after the 2024 RNZFB Annual General Meeting has concluded.

Resolution 3: Handling Disputes

THAT rule 13.0 of the Constitution of the Royal New Zealand Foundation of the Blind Incorporated, as amended, be adopted to take effect after the 2024 RNZFB Annual General Meeting has concluded.

Resolution 4: Various Administrative Matters

THAT various other amendments to the Constitution of the Royal New Zealand Foundation of the Blind Incorporated, as amended, be adopted to take effect after the 2024 RNZFB Annual General Meeting has concluded.

Any member present at this meeting is entitled to vote at the meeting provided that they have not already voted in the postal ballot.

The totals of all votes cast for and against the resolution will be announced at the meeting.

Minutes of the 2020 Special Meeting of Members

The minutes of the 2020 Special Meeting of Members were circulated to all attendees after that meeting. If you would like to receive a copy of these minutes, please phone the Contact Centre on 0800 24 33 33 preferably by Friday 25 October.

Member participation

There will be opportunities to ask questions or comment on the resolutions above. Members who do not wish to travel to South Auckland for the Special Meeting may participate in either of two ways:

  1. If there is enough interest, we hope to organise meetings at other Blind Low Vision NZ offices that will be linked to the meeting.
  2. Alternatively, you may participate by telephone or Zoom. You will need to book your place in advance.

Also, if you intend to ask a question at the meeting that could be more fully answered with background research, you must let the Board Secretary know before Friday 25 October please.
